The Herceg Novi Police - Economic Crime Suppression Unit filed a criminal complaint against three employees of the Joint Stock Company "Vektra Boka" Herceg Novi on suspicion that they committed the criminal offense of abuse of position in business operations as co-perpetrators.
This was announced by the Police Administration (UP).
Criminal charges, as stated, have been filed against: RG (57) from Herceg Novi, secretary of the Joint Stock Company 'Vektra Boka' Herceg Novi, MP (37) from Kotor, executive director of the Joint Stock Company 'Vektra Boka' Herceg Novi, and RS (62) from Kotor, president of the Board of Directors of the Joint Stock Company 'Vektra Boka' Herceg Novi, who are suspected of having committed the aforementioned criminal offense as co-perpetrators.
"It is suspected that RG, acting in his capacity as the company secretary, upon prior agreement with MP, without the knowledge and consent of the members of the Board of Directors, as well as without a previously adopted formal decision of this management body, drafted a proposal for an annex to the employment contract of the executive director, which stipulated disproportionately high severance pay in favor of the executive director, ranging from around 38.000 to 115.000 euros, depending on the manner of possible termination of the function or employment relationship, which he submitted to MP," the UP statement states.
As the UP adds, it is further suspected that MP, aware that the annex in question was not based on a decision of the Board of Directors or the interests of the company, abused his powers and changed parts of the proposed annex in a way that enabled himself more favorable financial benefits and higher amounts of severance pay.
"Namely, it is suspected that the MP changed the provisions of the annex by reducing the amount of severance pay in the event of voluntary termination of employment from 24 to 12 gross salaries, while at the same time increasing the amount of severance pay in the event of the expiration of the mandate from 12 to 24 gross salaries, although his mandate has expired in the meantime. After that, as is suspected, the MP submitted the annex in question to the President of the Board of Directors of the RS, who, although aware that there was no decision or consent of the Board of Directors for the conclusion of such a legal transaction, signed it and concluded it with the executive director," the statement reads.
In this way, it is suspected that the reported persons, through joint action and abuse of their positions, acted contrary to the interests of the company, creating financial obligations that were not approved by the competent management bodies, especially considering the fact that the account of AD "Vektra Boka" Herceg Novi was blocked in the amount of 11.041.329,05 euros at the time of the conclusion of the annex in question.
"This conduct, as suspected, enabled the executive director to obtain illegal material gain, while the company was harmed through the creation of illegal financial obligations," the UP statement concluded.
