The Nikšić-based Uniprom's offer for the purchase of the property of Kombinat aluminijuma (KAP) is the most serious, according to the bankruptcy administrator of the Podgorica factory, Veselin Perišić.
Four bids were submitted for the tender for the sale of KAP assets at an initial price of EUR 52,47 million, and Perišić will decide which one is the most favorable in the next eight days.
He said that Uniprom offered 28,5 million euros for the purchase of KAP's total assets, which form a technologically rounded whole in terms of production, while the companies Politropus Alternative from Tivat and Alemani Trade from Belgrade are interested in the purchase of certain segments.
Perišić believes that the offer of Get Sales, based in London and backed by the German HGL, is frivolous considering that it offered only 5.100 euros for the property of KAP.
Perišić said that the bankruptcy administration will also take into account the recently adopted Law on the Protection of State Interests in the Mining and Metallurgical Sector, according to which the parliament must approve the eventual sale of KAP.
He added that he was pleased by the fact that in the current situation at least one serious offer was found for KAP, which is in such a state that neither an excessively reputable buyer nor an excessively high price can be expected.
"According to my knowledge, Uniprom is also involved in the sale or purchase of scrap aluminum. They submitted a business plan and showed their willingness to be controlled by the Government," said Perišić.
Uniprom offered an electricity price of 38 euros per megawatt, a total investment of up to 78 million euros in order to produce 2018 tons of liquid aluminum and 120.000 tons of secondary metal by 30.000, but also to retain about 300 employees.
Perišić reminded that bankruptcy is a judicial sale of property in which the buyer has no formal-legal obligation to take over the workers, but to pay the purchase price in order to settle the creditors.
"Of course, there is always room to negotiate with the government on these special conditions. A buyer who has a serious intention to continue his activities in KAP will also need to hire workers. How much that number will be depends on the buyer," Perišić said. .
He added that the eventual sale of KAP to Uniprom for 28,5 million euros would satisfy the creditors of the first and second order of payment, while those of the third order would be settled as much as possible.
"Everything that remains unsettled is dismissed by force of law," said Perišić.
He added that the bankruptcy administration will also take into account the recently adopted Law on the Protection of State Interests in the Mining and Metallurgical Sector, according to which the parliament must approve the eventual sale of KAP.
"From a legal point of view, the law cannot have a retroactive effect. However, I appreciate and hope that the parliament also had good intentions, namely to find a good partner for KAP, in order to solve that problem and the company could operate without losses," he said. is Perišić.
The union is dissatisfied with the number of workers
The President of the KAP Union, Sandra Obradović, believes that Uniprom's offer is the most serious, but also that the figure of around 300 workers who would remain working at KAP is extremely low and unattainable.
"That number immediately stung our ears, considering that KAP, which once employed two thousand workers, and currently employs 717, every few months is affected by a wave of layoffs," Obradović announced.
She said that the figure of 300 workers can only satisfy the production in Electrolysis and Foundry, while the others would be laid off.
"The government and the bankruptcy administration should take into account the social category of KAP employees, because the social program and retirement are not the solution for everything," said Obradović.
The owner of Uniprom, Veselin Pejović, believes that in the current circumstances KAP does not need more than 300 employees to function normally.
"You don't need more than that number if you go into the production of liquid metal in electrolysis. If you go into production without liquid metal, that is, directly into the production of processing, then that figure is even smaller," said Pejović.
He added that KAP has to operate at a loss without the electricity price of 38 euros per megawatt hour.
"Who is going to finance the loss every month, who is going to pay the workers? I will not allow any kind of strike, I want to settle wages regularly," said Pejović.
Get Sales plans to hire 3.000 workers
Daniel Kluting, director of the company Get Sales, which offered a purchase price of 5.100 euros and 700 million euros of investment at the tender for KAP property, said that they plan to hire 3.000 workers.
"The most important thing is to make aluminum and have a low cost of electricity. We plan to employ three thousand workers, because we are starting with the production of aluminum, with a foundry, a welding center, given that HGL is specialized for that. The intention is to produce large parts for trains , planes and ships. It's a market that will grow in this century," Kluting said.
The Get Sales offer refers to all properties except for land in Spuz, business premises in the settlements of Zabjelo and Drpe Mandića, urban construction land in a location near Gintaš
"It will cost between 100 and 150 million euros. We asked if that pool could be excluded, but it was stated that the property from the first to the sixth point in the ad includes it. When we buy it for five thousand, we buy it for 100 million and 5.000, because we have to take care of the environment and the workers," specified Kluting.
According to him, there are strict laws, which must not be different in other countries.
"That's what people expect from us. We're Germans, we're a little crazy, but that's how we work," said Kluting.
The Get Sales offer applies to all properties except for land in Spuz, business premises in the settlements of Zabjelo and Drpe Mandića, urban construction land in a location near Gintaš. During the bid opening, Politropus representatives requested that the Get Sales bid be rejected because it is in English and has no official translation.
Kluting explained that the offer arrived in English and not in the official language, because the tender was published in English and Montenegrin.
"We took the English version, which did not state that the offer must be submitted in another language. We will appeal and see what happens next," said Kluting, who claims that the ad was taken from the KAP website and that "it was sent to him by Kavarić ".
The company Politropus Alternative offered 450.000 euros for part of KAP's property, i.e. the red mud pool, the facility of the former Institute for Research and Development of Aluminum and land in Spuz. The company offers 100.000 euros for the pool, 200.000 for the building of the former Institute, and 150.000 for the land.
Politropus Alternative is a Montenegrin company with international capital. Its founder and owner is the Ukrainian Roman Denkovich.
Alemani trade company offered to pay 22 euros for 178.200 wagons of KAP.
