The assembly of shareholders of the company "Plantaže" is scheduled for tomorrow, while today the government should propose the names of six members of the new board of this state-owned company, while the seventh member is the representative of the minority shareholder of Crnogorska kommercielja banka (CKB), Nikola Perišić, who has been a member until now. board of this company.
The new management takes over the company in one of its most difficult moments because it is practically facing bankruptcy with debts of over 45 million euros.
The current management of the company has estimated that it urgently needs state aid of at least five million euros for the payment of part of the back wages and the necessary spring work in the company's vineyards and orchards.
An extraordinary audit requested by the Ministry of Agriculture recently concluded that the company owes 45 million euros and is on the verge of bankruptcy, and irrational operations in recent years, spending huge amounts of money on disputed fees and other privileges that the management assigned to himself.
The previous board of directors announced that the crisis was caused by the coronavirus pandemic and the loss of the Russian market, as well as that the company has 20 million liters of wine worth 35 to 38 million euros in stock. The Ministry of Agriculture previously expressed doubts about the accuracy of the inventory value stated in the company's balance sheets.
"Plantations" have not yet submitted their financial statements for last year, even though the deadline has passed. After the board of directors is constituted, it should also decide on the current executive director, Miroslav Vuković, who replaced the long-time director, Verica Maraš, in October of last year. One of the important obligations of the new administration will be to examine the work and responsibility of the previous administrations, against which there are several active criminal charges.
Most of the shares in "Plantaže" - 22,2 percent - are owned by the state Investment and Development Fund (IRF), and its representatives on the board will be Vuksanović, Popović and Nikčević. The PIO fund has 21,4 percent of the shares and two representatives of Rašović and Boričić, while the Employment Agency will have one member each with 8,5 percent and CKB banka with 9,2 percent of the shares, and they will be represented by Pavićević and Perišić. The government has 3,6 percent of shares in its name, but will not have a direct representative. Other small shareholders, workers and former privatization funds own about 35 percent of the shares, but according to this distribution, they will again be left without their representative on the company's board.
The current board of directors has nine members, the president is prof. Dr. Božo Mihailović, and members Dušan Perović, prof. Ph.D. Veselin Orlandić, prof. Dr. Boban Melović, MSc Đorđije Rajković, MSc Sead Šahman, MSc Nikola Perišić, MSc Zoran Senić and Vladislav Dulović.
