Minister of Capital Investments Ervin Ibrahimovic for the director of the state airline "ToMontenegro", he wants to push his vice-president from the Bosniak party Damir Gutić, whom he had previously failed to appoint as the director of the Airport of Montenegro.
According to the company statute, the executive director is appointed by the government on the proposal of the relevant minister, which is why the election of a new acting director has been blocked twenty days after the current acting executive director Dragani Frantov Nikolic mandate expired.
Prime Minister Dritan Abazovic and the majority of the new board of directors want a person with experience in business aviation to be elected as the CEO of the company. Gutić has no experience in aviation. He is an economist, and he worked as a broker, investment manager of the former private pension fund "Market Invest", and from 2015 to 2021 he held the position of director of the Water Administration. He was appointed vice-president of the Bosniak Party on July 18, 2021.
It is also disputed whether the company's current statute is in accordance with the Law on Business Companies, which states that the executive director is elected by the board of directors.
The company recently informed "Vijesta" that the Board of Directors of "ToMontenegro" has established a proposal for amending the founding act, as well as a proposal for a new statute.
"As part of the proposed amendments, it is foreseen that the executive director will be elected and dismissed by the Board of Directors. 'ToMontenegro' will continue to act in accordance with the decisions of the founders and within the legal framework," the company stated at the time.
The majority of the board of directors believes that aviation is a specific and sensitive activity and that the director must have serious experience in commercial aviation, which is why they are against Ibrahimović's proposal that Gutić be the director.
Their proposal, with which Abazović and the majority in the Government agree, according to information from "Vijesti", is to amend the Statute, to appoint an acting director with experience in this field, and then to announce a competition for the election of a full-term director.
The Prime Minister has requested an official opinion from the MKI, and if they do not propose changes to the Statute, then he will do so. A majority in the Government is required to vote on changes to the Company's Statute. Only after that the board of directors could appoint a new acting executive director.
Ten days ago, MKI told "Vijesti" that they could not specify when they would propose the company's acting director.
"We remind you that the board of directors was only recently appointed. In this sense, it is to be expected that it will take a certain amount of time for the members of the board to review and analyze the situation in the company and, in accordance with their assessment, propose to the ministry their view of the situation and possible proposals for a solution. For now, we cannot give a precise answer when such a proposal will be conceived", they said in this government department.
"Vijesti" asked the MKI and when the government can expect to choose the director of the company, who should announce the competition, where the candidates would apply and when they will announce the competition.
"The government appoints the director, and at this moment it is ungrateful to give information about when that decision will be made. Bearing in mind the complexity of the situation in the company and on the global air traffic market, it is necessary to consider and propose a quality personnel solution for that position. After consultations at the level The government's further steps will be carried out in accordance with the procedures," the MKI replied.
After this, the board of directors proposed changes to the statute in order to elect the director themselves, but Ibrahimović did not agree with that proposal because he would not be able to push cadres from his party.
