Five million euros to the Turks if the property of Željezara is sold

Elektroprivreda must pay compensation to Tosjala Group if anything from the Nikšić factory is sold, turned into waste or destroyed within five years from the date of transfer of ownership. The state energy company claims that no part of the property has been alienated, while the Željezara does not answer questions regarding last year's advertisement for the sale of old locomotives.

If Elektroprivreda (EPCG) sells Željezara or any part of its assets in the next five years, it must pay five million euros to the previous owner of the Nikšić factory, the Turkish Tosjali Group.

This is stipulated in the sales contract that EPCG concluded with Tosjali Group when it took over Željezara.

The unofficial information of "Vijesti" regarding this contractual clause was officially confirmed by the state energy company.

This contractual clause is one of the issues raised during the talks, which, according to unofficial information, had interested investors who are ready to invest in the Nikšić factory, that is, to buy it, but are not ready to pay the five million euros.

The international public call for the lease of production capacity in the Ironworks - Čeličana i Kovačnica expires today, and some of the potential ones plan to submit offers for purchase, not for lease.

"The contract of sale, concluded between Toscelik Profil Ve Sac Endustrisi As as the seller and EPCG as the buyer, defines that if EPCG within five years after the date of transfer of ownership rights and transfer of the right of use and handover of movables, which constitute the property of the seller in accordance with the contract and the law, EPCG transfers the right of ownership, turns it into waste or destroys immovable property or machinery and production equipment, EPCG as a buyer will be obliged to make an additional payment to the seller in the amount of EUR 5.000.000,00 without delay. The contract further stipulates that the transfer of property rights or the right to use the property to a related company of EPCG as a customer (related company in the sense of the Business Companies Act) will not be considered a transfer of ownership and EPCG as a customer will not be obliged to make additional payments from this article. It is further stipulated that if EPCG, as a buyer, transfers ownership of the property to an affiliated company, this article will apply unless the buyer also transfers this additional payment obligation to the affiliated company in favor of the seller," EPCG said officially.

The state energy company claims that no part of the property of Željezara has been alienated (sold), which could be the basis for triggering a clause from the contract that EPCG had with the previous owner.

Advertised the sale of two locomotives

In April of last year, the steel mill publicly announced in a daily newspaper the sale of two locomotives, model 744, produced in the former USSR in 1971, with a total weight of 78 tons.

In that advertisement, it was stated that the locomotives are not in usable condition, that they are missing parts that are necessary for operation, so it is possible to evaluate and qualify them only as scrap metal.

The initial price of these locomotives was 37.752 thousand euros and it was given based on the estimate made by the state railway company "Montekargo".

With this invitation, it was defined that the buyer would be allowed to work on the eventual servicing of these locomotives in the halls of the Nikšić factory and to move them within 60 days from the date of conclusion of the contract.

Yesterday, "Vijesti" asked Željezar if these locomotives were sold, if so, who was the buyer and for what price he sold them, but until the conclusion of the text from the factory, which has recently been managed by executive director Nevenka Janković, there was no answer. Subsequently, questions on this topic were sent to the Board of Directors, from which "Vijesti" expects an answer.

If the locomotives were sold, it would mean that EPCG must immediately pay five million euros to the Tosjali Group.

The Nikšić factory did not respond to the questions of whether, to whom and at what price 858,840 kilograms of scrap iron was sold, the sale of which was announced in April last year. This waste was offered at a price of 223,298,40 euros.

The company Endek from Switzerland offered to the Government and Elektroprivreda (EPCG) to buy Nikšić's Željezara. The potential investor announced his intentions at the beginning of January at a meeting at the headquarters of the Ministry of Energy, which was attended by representatives of several ministries, the Cabinet of the President of the State and several state energy companies.

Potential investors from Sweden, i.e. the consortium consisting of "Uber Nordic" and "Kvalitetsbygg" are also interested in the lease of Nikšić's Željezara. As previously announced by the Ministry of Energy, that company is specifically interested in investing and starting production. The financial director, Frederik Aker, and the expert consultant of the company "Uber Nordic", Radovan Perović, previously presented the company's investment models of up to 70 million euros in the equipment and facilities of the Ironworks and especially emphasized the intention for a long-term investment with a gradual increase in the number of employees. The company "Duferco" from Luxembourg and the Austrian company "Safin Handelsges" are interested in the factory.

The state energy company has been managing Nikšić's Željezara since January of last year, but the start of production at the Čeličana and Kovčnica plants under the auspices of EPCG was not possible, due to strict rules on state aid.

The land for the "Sunny City" was not included in the public call for lease of the Željezara

The EPCG said that the land on which the "Sunny City" project is planned is not included in the Public Call for the lease of the Ironworks.

"The land on which the realization of the construction project of the residential and business complex "Sunčani grad" is planned is located outside the factory complex of Željezara, so it is not in the function of production in Željezara, and therefore it is not the subject of a public call for lease," said the EPCG. .

It was clarified that according to the public call for the leasing of production capacities in the subsidiary company, the subject of the lease are the production facilities of Steel and Forge.

"In Čeličana - old ingot preparation, new ingot preparation, furnace hall, casting hall, mold hall and annealing hall. In the Forge as well as: the forge hall, the sensor hall, the rotary hall and the combined rolling mill hall. In addition, the object of the lease is the SIK building, as well as the shipping hall and warehouses, with a total area of approx. 95.000 square meters, with the use of other related parts in the function of steel production, namely mechanical and construction workshops, energy and traffic", it was stated from EPCG .
