The health institution of the Pharmacy of Montenegro "Montefarm" said, in response to yesterday's announcement of the new Board of Directors of that institution, that the management of "Montefarm" does not obstruct the work of that board.
"In order to provide accurate, clear and legally based information to the public, we are obliged to clarify how and why the disputed situation related to the scheduling of the meeting of the new Board of Directors of ZUACG MONTEFARM arose, in order to eliminate any insinuation that its work was obstructed by the management headed by director Mr. Marinović.
"Namely, on March 04.03.2024, XNUMX, the Board of Directors unfoundedly sent a notice to the Director of the Institution with a request to schedule a constructive session of the Board, which is legally unfounded and terminologically incompatible with the norms governing this issue, because in the same notice the signatories state the term of the constituted session, and it remained unclear what the notification ultimately entails.
"We clarify, the legal regulations and other normative acts that procedurally regulate this issue refer to Article 21b of the Statute of ZUACG MONTEFARM, which adopted the Rules of Procedure of the Board of Directors, which foresees the method of convening its session, which we are obliged to respect as a socially responsible Institution .
"Namely, the Board of Directors was constituted on May 17.05.2021, 02.02.2024, when the President and other members of the Board were elected. By the decision of the Government dated February XNUMX, XNUMX, four members of the Board were dismissed and four new representatives of the founders were appointed, which led to a change in the existing membership , to the already constituted Board. In this sense, the session could not be constitutive because it has already been held once, and as such it can only be a single one.
"Also, Article 17 of the Rules of Procedure of the Board of Directors states that the meeting is scheduled by the president on his own initiative or at the proposal of the director or at the request of 1/3 of the members of the Board. The authority to schedule the meeting is not the Director of the Institution, but exclusively the President of the Board of Directors, who in this case is dismissed.
"Therefore, there was absolutely no obstruction, but only compliance with the applicable legal regulations, and only and exclusively for the purpose of protecting the integrity of ZUACG MONTEFARM", it is stated in the response.
They said that when it comes to the minutes from the last session, that document was drawn up in accordance with the aforementioned session, certified and signed by the president in accordance with the regulations, and was submitted to the Ministry of Health for inspection upon request.
"At the meeting, the members expressed their opinion regarding the bonus to the Director of the Institution, where five members voted FOR, and two were ABSTAINED. Therefore, the decision was made according to the vote after a constructive discussion, and the allegations about the arbitrariness of the individual, that is, the Director of the Institution, are completely unfounded.
"Retroactive revision of the Minutes has no legal basis, because in this way the decisions and minutes of all previous Boards could be contested, which would completely endanger the operations of MONTEFARM itself.
"The public constantly mentions the incentives that the director signed, but we repeat once again that the director only determined incentives for his three assistants, due to the volume of work and dedication, while the sector managers independently monitored the work of their departments and determined to whom and in what amount given an incentive for the previous month's contribution or additional engagement and explained to the director. So, each incentive was justified by a decision signed by the director and ranged in the amount of 50-250 euros.
"Due to all of the above, it is clear that there are no obstructions to the work of the new Board of Directors, but the management of MONTEFARM, not headed by Mr. Marinović, respects the law and other normative acts, and protects the Institution and its integrity," the reaction concludes.
